The Ninth Circuit Court of Appeals is weeks away from ruling on whether the NFL owes $4.7 billion in damages to 2.4 million residential subscribers who claim the league's Sunday Ticket packaging violated antitrust law. The case, *NFL Sunday Ticket Antitrust Litigation*, challenges the core structure of how professional football monetizes broadcast exclusivity—and Google, which paid $2 billion annually for seven years starting in 2023, is reading the briefs.

A jury awarded $4.7 billion in June 2024 after finding the NFL and its 32 franchises conspired to inflate prices by selling all out-of-market Sunday games as a single package through DirecTV, rather than allowing team-by-team or game-by-game sales. The NFL's position is straightforward: Section 1 of the Sherman Act permits sports leagues to act as single entities when selling broadcast rights, citing *American Needle v. NFL* (2010). The league argues bundling protects competitive balance and maximizes total revenue, which flows back to franchises through shared-revenue mechanisms. Plaintiffs counter that the bundle forces fans to pay $294 per season (DirecTV's 2022 price) for access to one team's games when unbundled pricing could have started near $40 per team. The economic model submitted at trial estimated damages at $7 billion before trebling; the jury settled at $4.7 billion before mandatory trebling under antitrust law, which would push the figure to $14.1 billion.

Google's stake is material. The company paid DirecTV $1.5 billion to exit its contract early in 2022, then signed a seven-year deal worth roughly $14 billion total. YouTube TV now offers Sunday Ticket for $479 annually or $349 for existing YouTube TV subscribers. If the Ninth Circuit reinstates damages and forces unbundling, Google's contract would need renegotiation—likely at a lower aggregate fee, since à la carte sales rarely match bundle revenue. The company has not disclosed Sunday Ticket subscriber counts, but third-party estimates from Antenna put 2024 sign-ups at 1.3 million, down from 2 million DirecTV households in 2022. Google wrote the check betting on bundle pricing freedom; a loss means revisiting the math.

The ruling also affects how teams and sponsors value exclusivity. If the NFL is forced to offer per-team packages, large-market franchises—Dallas, New England, Los Angeles—would command disproportionate out-of-market revenue, breaking the shared-revenue model that keeps small markets competitive. Sponsors who pay $30 million to $50 million annually for league-wide Sunday Ticket integrations (DraftKings, Verizon) would need to recalibrate buys if viewership fragments across team-specific streams. Family offices circling minority stakes in franchises are watching the revenue-share implications; one allocator told a colleague the case could shift franchise valuations 5% to 8% depending on market size.

Watch for the Ninth Circuit opinion by mid-April at the latest. If damages are reinstated, the NFL will immediately petition for *en banc* review or Supreme Court cert. Google has quiet language in its contract allowing renegotiation if "material adverse regulatory action" affects distribution terms; that clause has not been tested. Meanwhile, the league's media committee is already in early conversations with CBS, Fox, and NBC about the next broadcast cycle starting in 2029. Those deals assume bundling freedom. A loss here means rewriting the playbook.

The NFL's general counsel mentioned in a December investor call that the league has reserved $1.2 billion in escrow "for certain litigation contingencies." That number does not cover $14.1 billion in trebled damages. The shortfall is the point.
